Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between your organization ("Customer") and Zelatonia ("we", "us", "our") governing your use of the Zelatonia platform. By accessing or using the platform, you confirm that you have the authority to bind your organization to these Terms.

1. Definitions

  • "Platform" — the Zelatonia web application, APIs, and related services
  • "Customer" — the organization that has subscribed to and is using the Platform
  • "Users" — employees, contractors, or agents authorized by the Customer to access the Platform
  • "Customer Data" — all data submitted to, stored in, or processed by the Platform by or on behalf of the Customer
  • "Subscription" — the paid plan that grants the Customer access to specific platform features

2. Access & Accounts

Access to the Platform is provided to the Customer through named user accounts. The Customer is responsible for:

  • Ensuring all Users comply with these Terms
  • Maintaining the confidentiality of account credentials
  • Promptly deactivating accounts of Users who leave the organization
  • All actions taken under their accounts

You must not share account credentials between multiple individuals. Each User must have their own account.

You are responsible for all activity that occurs under your organization's accounts, whether or not authorized by you.

3. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law or regulation
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to any part of the Platform or other customers' data
  • Reverse engineer, decompile, or disassemble the Platform
  • Use automated means (bots, scrapers) to access the Platform without written permission
  • Introduce malware, viruses, or other harmful code
  • Exceed usage limits included in your Subscription plan
  • Resell or sublicense access to the Platform without written consent

We reserve the right to suspend or terminate access immediately if we detect a violation of this section.

4. Subscription & Billing

Plans: Zelatonia offers tiered subscription plans (Professional, Business, Enterprise). Features and seat limits vary by plan.

Getting started: New accounts must select a plan before accessing the Platform. You will not have access to any features until you start a free trial or subscribe to a paid plan.

Free trials: A valid payment method is required to start a free trial. Professional includes a 6-day free trial; Business includes a 14-day free trial. Your card will be charged automatically for the applicable plan fee when the trial period ends, unless you cancel before then. Enterprise is not self-serve and is provided under a separate custom agreement — contact us for pricing.

Billing: Subscriptions are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law.

Payment: Payment is processed securely by Stripe. By providing payment details, you authorize Zelatonia to charge the applicable fees on each renewal date, including the automatic first charge when a free trial ends.

Price changes: We may change subscription pricing with at least 30 days' written notice. Continued use after the notice period constitutes acceptance.

Taxes: All fees are exclusive of applicable taxes (VAT, GST, etc.), which are your responsibility.

If a payment fails, we will attempt to retry up to 3 times over 7 days. Accounts with outstanding balances may be suspended after this period.

5. Intellectual Property

Zelatonia IP: The Platform, including its design, code, trademarks, and content, is owned by Zelatonia and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

Customer IP: You retain full ownership of all Customer Data. We claim no intellectual property rights over your content.

License to operate: You grant Zelatonia a limited, non-exclusive license to process, store, and display your Customer Data solely for the purpose of providing the Platform services to you.

6. Customer Data

You are solely responsible for the accuracy, quality, legality, and appropriateness of your Customer Data.

We will process Customer Data in accordance with our Privacy Policy and any Data Processing Agreement (DPA) executed between us.

We implement reasonable technical and organizational measures to protect Customer Data but cannot guarantee absolute security. You should maintain your own backups of critical data.

Upon termination of your account, we will return or delete Customer Data within 30 days, unless a longer retention period is required by law.

7. Confidentiality

Each party agrees to keep the other's confidential information secret and not to disclose it to third parties without prior written consent, except:

  • As required by law or regulatory authority
  • To employees or contractors who need it to perform obligations under these Terms and who are bound by similar confidentiality obligations

This obligation survives termination of these Terms for a period of 3 years.

8. Availability & Support

We aim to provide a reliable platform but do not guarantee uninterrupted availability. Planned maintenance will be communicated with at least 24 hours' notice where possible.

Support is provided via email at support@zelatonia.com. Enterprise customers may be entitled to dedicated support under their separate agreement.

We reserve the right to modify, update, or discontinue features of the Platform with reasonable notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Zelatonia's total liability to you in any 12-month period shall not exceed the fees paid by you during that period
  • Neither party shall be liable for indirect, incidental, special, or consequential damages
  • Zelatonia is not liable for data loss caused by your own actions, third-party integrations, or force majeure events

Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by negligence.

10. Termination

By you: You may cancel your subscription at any time, including during a free trial — cancelling during the trial period prevents the automatic first charge. Once billing has started, access continues until the end of the current billing period, and no refunds are provided for partial periods.

By us: We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or engage in activity that poses a security risk. For other reasons, we will provide 30 days' notice.

Effect of termination: Upon termination, your right to access the Platform ends. We will make Customer Data available for export for 14 days after termination, after which it will be deleted per our data retention policy.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Zelatonia is incorporated, without regard to conflict of law principles.

Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the competent courts of Zelatonia's jurisdiction.

12. Changes to Terms

We may update these Terms from time to time. We will notify account administrators via email and display a notice in the platform at least 14 days before material changes take effect.

If you do not agree with the updated Terms, you may terminate your subscription before the effective date. Continued use constitutes acceptance.
